This End-User License Agreement ("Agreement") is a legal agreement between you ("Client" or "you") and Grey Shore Systems ("we," "us," or "our") governing your use of our automation services, integrations, and related tools.
Grey Shore Systems provides business automation services including workflow automation, system integrations, and related tools that connect to third-party platforms on your behalf. These services are provided as configured and agreed upon between you and Grey Shore Systems.
By using our services, you authorize Grey Shore Systems to access and interact with third-party platforms (including but not limited to QuickBooks Online, Microsoft 365, Google Workspace, and Telegram) on your behalf, limited to the scope necessary to provide the agreed-upon services. You are responsible for maintaining valid credentials and authorizations for any connected third-party services.
You retain full ownership of all data processed through our services. We do not claim any ownership rights to your data. We access your data solely to perform the automation services you have requested and do not use your data for any other purpose.
You agree to use our services only for lawful business purposes and in compliance with all applicable laws and regulations. You agree not to use our services to send unsolicited communications, store or transmit malicious content, or violate the terms of service of any connected third-party platform.
We strive to maintain reliable service but do not guarantee uninterrupted availability. Our services depend on third-party platforms and infrastructure providers that may experience outages or changes beyond our control. We will notify you promptly of any service disruptions that affect your workflows.
To the maximum extent permitted by law, Grey Shore Systems shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising from your use of our services. Our total liability for any claims arising from or related to our services shall not exceed the total fees paid by you to Grey Shore Systems in the twelve months preceding the claim.
Either party may terminate this Agreement at any time with written notice. Upon termination, we will cease all automation services, revoke third-party access tokens, and delete your data within 30 days unless otherwise required by law or agreed upon in writing.
We may update this Agreement from time to time. We will notify you of material changes via email or through our services. Your continued use of our services after such notification constitutes acceptance of the updated terms.
This Agreement shall be governed by and construed in accordance with the laws of the State of New Hampshire, without regard to conflict of law principles.
